Situation
- Global Investment Bank wants to sell flagship alternative index in the aftermath of the 2008 financial crisis, which increased regulatory pressure and harshened public stance on Investment Banks owning indices
- Index division of Global Stock Exchange wants to acquire flagship alternative index and prepares Investment Case to its parent to obtain capital
Actions Proost Ventures
- Provide Corporate Finance advice to the CEO of the Index division throughout the entire process to acquire a flagship Index from selling Global Investment Bank
- Prepare investment case presented to the Board of the Global Stock Exchange
- Co-ordinate full buy-side M&A process including communication with selling Global Investment Bank, internal Index team, external legal and tax advisors
- Manage complex Valuation of Index, including i) top-down multiple valuation; ii) bottom-up valuation of detailed (carve-out) business plan
- Formulate Offer Letter to Global Investment Bank, obtaining buy-in from all client stakeholders at Global Stock Exchange to present formal offer to seller
Results
- Index division presents Investment Case to Global Stock Exchange and obtains Board approval for Offer to the seller of the flagship Index
